TERMS AND CONDITIONS
Definitions
“COMPANY” refers to Faithful Spark Electricians Ltd.
“The Client” is the homeowner/occupier who engages the COMPANY.
“The Agreement” means the agreement between the COMPANY and the Client.
“The Quotation” outlines costs, materials, and timescales.
References to any statutory provision, authority, rule, or code of practice shall be deemed to include the amended versions, replacements, or successors of such.
Relationship between the Parties
The Client engages Faithful Spark Electricians Ltd to provide the services specified in these terms and conditions and attached schedules.
No term of this agreement or course of dealings between the parties shall operate to make Faithful Spark Electricians Ltd an employee or agent of the Client.
Neither party shall assign or transfer any of their rights, liabilities, or obligations arising under this agreement without the prior written consent of the other party.
The Quotation
Faithful Spark Electricians Ltd shall provide the Client with a proposal for the services to be provided (“The Quotation”), which shall set out:
a) The services Faithful Spark Electricians Ltd will undertake for the Client. b) The date or time period within which the service will be performed. c) The prices the Client shall be charged for the performance of the services, including: i. Any fees charged by Faithful Spark Electricians Ltd. ii. Any disbursements or expenses required, such as the cost of materials. iii. Any VAT or tax element payable by the Client.
The Quotation shall be attached to these terms and conditions as a schedule. Where a contract is entered into, the Client will be deemed to have accepted the content of the Quotation in full.
The Services and the Time and Manner of their Delivery
Faithful Spark Electricians Ltd will provide the services set out in the Quotation.
The services will be provided to the Client within the timeframe specified in the Quotation.
Timeframes and dates of delivery are provided for guidance only. Faithful Spark Electricians Ltd makes no guarantee that the services will be performed within the specified period. For the purposes of this agreement, time shall not be of the essence, and Faithful Spark Electricians Ltd shall not be liable for any loss or damage suffered by the Client due to delays or postponements.
Faithful Spark Electricians Ltd will store, maintain, and process all client data in compliance with GDPR 2018. The Client agrees to the COMPANY sharing their data with authorised third parties as required to deliver the agreed services or as required by law.
Payments
The contract price is set out in the Quotation, which includes details of the charges for labour, materials, and other costs, as well as any taxes or additional expenses.
Invoices may be issued in intervals as set out in the Quotation or via email.
Faithful Spark Electricians Ltd may vary the contract price from the Quotation where: a) Services are different or additional to those outlined in the Quotation at the Client’s request. b) Additional work arises due to unforeseen conditions. c) Market fluctuations impact material costs.
The Client agrees: a) Not to withhold any sums due to Faithful Spark Electricians Ltd. b) To settle all invoices within 14 days. c) To pay interest at 5% above the Bank of England base rate on overdue payments. d) To cover any costs incurred in recovering overdue payments.
Cancellation
The Client may cancel this contract within 7 calendar days of signing and receive a full refund, less reasonable administration costs. Cancellation outside this period will not entitle the Client to a refund.
Client’s Obligations
The Client shall: a) Ensure accurate measurements and details for products or materials. b) Permit access to the property for services. c) Ensure adequate ventilation and clear workspaces. d) Provide facilities needed to complete the work. e) Follow safety and care instructions provided by Faithful Spark Electricians Ltd.
Faithful Spark Electricians Ltd shall not be held responsible for delays or additional costs resulting from restricted access, unsuitable site conditions, or undisclosed pre-existing issues.
Supplier’s Obligations
Faithful Spark Electricians Ltd shall: a) Perform all duties with reasonable care and skill. b) Comply with relevant codes and regulations. c) Protect the Client’s property and dispose of waste safely. d) Maintain valid employer and public liability insurance policies.
Faithful Spark Electricians Ltd reserves the right to suspend work in cases of delayed payment.
Guarantee
Faithful Spark Electricians Ltd provides a 12-month guarantee on all workmanship, starting from the completion date of the services. This guarantee covers defects arising from faulty installation or workmanship. It does not cover: a) Wear and tear, misuse, or neglect by the client. b) Damage caused by third-party alterations or repairs. c) Faults arising from equipment, materials, or components supplied by the client. d) Issues caused by environmental factors or unforeseen external events.
If a defect is identified within the guarantee period, Faithful Spark Electricians Ltd will, at its discretion, repair, replace, or reperform the affected work at no additional cost, provided full payment has been made by the client.
Termination, Indemnity, and Disclaimers remain as outlined in the original document, with references to building work replaced by electrical work as applicable.
Photographic Evidence
Faithful Spark Electricians Ltd reserves the right to take photographic evidence of the site before, during, and after the works for record-keeping, quality assurance, and promotional purposes, provided client confidentiality is maintained.
Permits and Approvals
The Client is responsible for securing all necessary permits, permissions, and approvals required for the completion of the agreed works, unless explicitly stated otherwise in the Quotation.
Dispute Resolution
Any disputes arising under this agreement shall first be addressed through mediation. If mediation fails, the parties agree to submit to binding arbitration in accordance with the laws of Scotland.
